2. Operating Model & Services

INVIX operates as an operational holding entity that acquires, manages, scales, and finances subscription-based software and mobile applications. Our services include:

• Direct Asset Investments: Acquisition and operational takeover of revenue-generating mobile and web applications.
• Deal Flow & Marketplace: Presenting vetted, high-performing software assets to institutional partners and accredited buyers.
• Growth Infrastructure: Billing integration, traffic financing, ASO, retention enhancement, and unit economics consulting.
• Custom Development: Turnkey MVP and production builds for proven subscription verticals.

3. Valuation Calculator & Target Metrics Disclaimer

All multiples, estimates, and numbers calculated via our interactive valuation tools or displayed in market overviews are illustrative and non-binding.

Final valuations, purchase prices, multiples, and earn-out structures are determined exclusively following comprehensive technical, legal, and financial due diligence, formal verification of analytics (App Store Connect, Google Play Console, Stripe, RevenueCat), and execution of a definitive Share / Asset Purchase Agreement (SPA).

4. Due Diligence, Escrow & Handover Protocols

All commercial acquisitions and divestments facilitated by or transacted with INVIX adhere to strict verification standards:

• Mutual Confidentiality: Detailed metrics, repositories, and credentials are shared strictly under Mutual Non-Disclosure Agreements (NDAs).
• Escrow Protection: Transaction funds are deposited with independent, regulated third-party escrow providers and released only upon verified completion of asset handover (developer accounts, codebases, domains, payment gateways).
• Metric Discrepancy Protection: If audited post-closing metrics deviate by more than 15% from verified baseline statements, price adjustments or escrow reversals apply as stipulated in the SPA.

5. User Obligations and Representations

When submitting an application or communicating with INVIX, you represent and warrant that:

• You possess full legal authority and clean title to the intellectual property, application assets, and related store accounts submitted.
• All historical MRR, retention, churn, and traffic figures provided are accurate, truthful, and free of artificial or fraudulent inflation.
• Your applications comply with Apple App Store and Google Play Developer guidelines and applicable copyright laws.

6. Intellectual Property Rights

The INVIX brand, logo, website design, architecture diagrams, copy, software, and proprietary methodology are the exclusive property of INVIX ANALYTICAL SERVICES - FZCO and are protected under UAE and international copyright and trademark laws.

7. Limitation of Liability

To the maximum extent permitted by applicable law, INVIX and its directors, officers, and employees shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the website, exploratory valuation calculators, or third-party platform changes (including Apple or Google policy updates).

8. Governing Law & Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Dubai Silicon Oasis (DSO) and the United Arab Emirates.

Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts of the Emirate of Dubai, UAE.
